By accessing or using Kodokyo ("the Service"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service. These terms apply to all users, including individual users and organizations.

2. Description of Service

Kodokyo is an AI-native project management platform that combines communication, task management, and documentation into a single workspace. The Service includes AI-powered features for task generation, project analysis, and workflow automation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must be at least 16 years old to create an account
• One person or organization may not maintain more than one free account
• You are responsible for all activity that occurs under your account

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers connected to it
• Use the Service for any unlawful, fraudulent, or deceptive purpose
• Scrape, harvest, or collect information from the Service through automated means without permission
• Resell, sublicense, or redistribute the Service without authorization

5. Your Content

You retain ownership of all content you create, upload, or share through the Service ("Your Content"). By using the Service, you grant Kodokyo a limited license to store, process, and display Your Content as necessary to provide the Service, including AI-powered features. We will not use Your Content for purposes unrelated to operating the Service without your consent.

6. AI Features

The Service includes AI-powered features that generate suggestions, create tasks, and produce analysis. AI-generated output is provided "as-is" and should be reviewed by users before acting on it. Kodokyo does not guarantee the accuracy, completeness, or suitability of AI-generated content. You are responsible for reviewing and validating any AI-generated output before use.

7. Subscription & Billing

• Paid plans are billed on a recurring monthly basis
• All fees are non-refundable unless otherwise stated
• We may change pricing with 30 days' advance notice
• Failure to pay may result in suspension or termination of your account
• Free trials automatically convert to paid plans unless cancelled before the trial ends
• You may cancel your subscription at any time; access continues until the end of the current billing period

8. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by Kodokyo and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service. The Kodokyo name, logo, and all related trademarks are the property of Kodokyo.

9. Client Portal

The Service includes a client portal feature that allows external clients to access project information via token-based authentication. As the account holder, you are responsible for managing portal access tokens, controlling what information is visible to clients, and ensuring that shared content is appropriate and authorized for external viewing.

10. Limitation of Liability

To the maximum extent permitted by law, Kodokyo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination. Provisions that by their nature should survive termination will remain in effect.

13. Changes to Terms

We may update these Terms of Use from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised terms. If you disagree with the updated terms, you should discontinue use of the Service.

These Terms of Use shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or the Service shall be resolved through binding arbitration, except where prohibited by law.
